Referral agreement

This agreement is electronically accepted by each provider when registering for the FigWay partner provider directory, in addition to the partner provider charter.
1. Purpose
This referral agreement (the "Agreement") governs the terms under which FigWay [TO BE COMPLETED: full legal company name] introduces the provider listed in the partner provider directory (the "Provider") to users of the figway.org platform (the "Clients") who may need its services.
2. Status of the parties
The Provider operates independently, under its own responsibility, and retains full control over the performance of its services, its pricing policy and its contractual relationships with Clients. FigWay acts solely as a referral partner (apporteur d'affaires) under Moroccan law. FigWay is neither an agent, a representative, nor a guarantor of the Provider, and is not a party to any contract entered into between the Provider and a Client. For Providers in the "Real estate" category, this referral-partner status applies without prejudice to the obligations specific to the real estate agent profession as regulated under Moroccan law, which remain the Provider's sole responsibility.
3. Referral process
When a Client expresses, from their personal dashboard, the wish to be introduced to a Provider listed under a given category, FigWay forwards this request to the Provider (by email and/or via its partner dashboard where available), together with the information strictly necessary to make contact. The Provider commits to acknowledging the request and offering the Client an initial contact within [TO BE COMPLETED].
4. Commission
In consideration for each introduction made by FigWay, the Provider pays FigWay a commission equal to 15% of the total amount (excluding tax) invoiced to the Client for any service resulting, directly or indirectly, from that introduction. This commission is due for any service invoiced to the Client within [TO BE COMPLETED] following the introduction, including for additional or repeat services provided to the same Client.
5. Reporting and payment of the commission
The Provider commits to informing FigWay, within [TO BE COMPLETED], of the completion of any service resulting from an introduction, specifying the amount invoiced to the Client. FigWay issues an invoice for the corresponding commission. The Provider commits to paying this invoice within [TO BE COMPLETED] days of receipt. 6. Term and termination
The Agreement takes effect on the date of its electronic acceptance by the Provider upon registration in the directory, for an indefinite term. Either party may terminate it at any time, without cause, by written notice (email to contact@figway.org for FigWay, or to the contact details declared by the Provider), subject to [TO BE COMPLETED] days' notice. Termination results in the removal of the Provider's profile from the directory, without prejudice to commissions already due for introductions made before termination.
7. Provider obligations
The Provider commits to: - comply with the partner provider charter; - provide FigWay with accurate, up-to-date and complete information about its business, pricing and coverage area; - hold, where applicable, the authorizations and professional qualifications required to operate in Morocco; - promptly inform FigWay of any cessation of activity, change of contact details, or withdrawal of approval that may affect referred Clients.
8. FigWay obligations
FigWay commits to forwarding introduction requests in good faith, limited to requests actually made by its Clients. FigWay does not guarantee any volume of introductions, nor exclusivity for the Provider within its category or geographic area: several providers may be listed under the same service category. FigWay reserves the right to suspend or remove the Provider's profile from the directory in case of breach of the partner provider charter or of this Agreement.
9. Confidentiality and data protection
Information about Clients shared with the Provider as part of an introduction is confidential and may only be used for the purpose of the requested service, in accordance with Moroccan law 09-08 on the protection of personal data. The Provider commits not to retain this data beyond the period necessary for the business relationship with the Client, and not to share it with third parties.
10. Governing law and disputes
This Agreement is governed by Moroccan law. In the event of a dispute regarding its interpretation or performance, the parties will first seek an amicable solution before any legal action. [TO BE COMPLETED: competent court / applicable mediation mechanism.]
11. Acceptance
The Provider accepts this Agreement electronically upon registration on figway.org, by checking the corresponding box and entering their full name in the registration form. This acceptance constitutes an electronic signature within the meaning of applicable regulations and binds the Provider as soon as their registration is validated.
